1. Acceptance of Terms

By creating an account or using Health Agent ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. What Health Agent Is

Health Agent is an AI-powered healthcare navigation and coordination tool. It helps caregivers and patients organize medical information, coordinate appointments, track medications, communicate with providers, and navigate insurance.

IMPORTANT: Health Agent is NOT a medical provider.

The Service does not provide medical diagnoses, treatment plans, or clinical decisions. AI-generated responses are informational only and should never replace professional medical advice. Always consult your physician or qualified healthcare professional before making any medical decisions.

3. AI-Powered Features

Health Agent uses artificial intelligence (including third-party AI services) to:

Analyze uploaded medical documents, lab results, and insurance cards
Suggest action plans, appointment preparations, and medication tracking
Draft communications (emails, appeal letters) for your review
Facilitate phone calls to healthcare providers on your behalf
Provide general health information and insurance navigation guidance

AI outputs may contain errors. You are responsible for reviewing and verifying all AI-generated content before acting on it.

4. Data Processing and De-identification

To provide AI features, your messages are processed through third-party AI services. Before transmission, all Protected Health Information (PHI) is de-identified using the HIPAA Safe Harbor method. This means:

Patient names, dates of birth, addresses, phone numbers, email addresses, Social Security numbers, insurance member IDs, and medical record numbers are removed before reaching the AI service
Only clinical information (symptoms, medications, conditions, lab values) is sent to the AI
Original identifiers are restored only in the response shown to you

5. Your Responsibilities

You must have legal authorization to manage health information for any patient you add to the platform (e.g., power of attorney, caregiver designation, or the patient's direct consent)
You are responsible for the accuracy of information you provide
You must verify AI-generated content with qualified professionals before acting on it
You must not use the Service for emergency medical situations — call 911 for emergencies
You must keep your account credentials secure

6. Limitation of Liability

To the maximum extent permitted by law:

Health Agent, its owners, operators, and affiliates are not liable for any medical decisions, outcomes, or consequences resulting from use of the Service
The Service is provided "as is" without warranties of any kind, express or implied
We do not guarantee the accuracy, completeness, or timeliness of any AI-generated content
We are not responsible for actions taken by third parties (doctors, insurance companies, pharmacies) based on communications facilitated through the Service
Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim

7. Hold Harmless and Indemnification

You agree to hold harmless and indemnify Health Agent, its owners, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the Service
Medical decisions made based on AI-generated content
Your violation of these Terms
Your violation of any third party's rights
Unauthorized use of the Service for patients you do not have authorization to manage

8. Third-Party Services

Health Agent integrates with third-party services including:

Anthropic (Claude AI) — AI processing with PHI de-identification
Google Calendar — Appointment scheduling (with your OAuth consent)
Resend — Email delivery
VAPI — Phone call facilitation

Each third-party service has its own terms and privacy policies. Health Agent is not responsible for third-party service availability or conduct.

9. Account Termination

You may delete your account at any time. We may suspend or terminate accounts that violate these Terms. Upon termination, your data will be retained for 30 days (or as required by law), after which it will be permanently deleted.

10. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance. Material changes will be communicated via email or in-app notification.

11. Governing Law

These Terms are governed by the laws of the State of Texas, United States. Any disputes shall be resolved in the courts of Bexar County, Texas.
